Terms of service

These Terms govern all orders placed with Nilgiri Cotton Company, the wholesale division of Gozi Lifestyle Pvt. Ltd. (GSTIN: 33AAKCG7948N1ZV), Tiruppur, Tamil Nadu, India. By placing an order, you accept these Terms.

1. Nature of Business

We are a B2B wholesale manufacturer of kids' cotton clothing. Our website, catalog, and pricing are intended for retailers, boutiques, brands, exhibition sellers, and importers — not retail consumers.

2. Orders & MOQ

  • Minimum order quantity for ready catalog styles is 25 pieces per colour (mixed sizes allowed). MOQs for custom and private label production are quoted per order.
  • Orders are confirmed only on receipt of the advance payment.

3. Pricing & Taxes

  • All prices are in INR and exclusive of GST and freight unless expressly stated otherwise.
  • GST is charged as applicable, and a GST tax invoice is issued with every order.
  • Quotations are valid for the period stated in the quotation; prices may be revised for subsequent orders due to fabric and input cost changes.

4. Payment Terms

  • 50% advance to begin production, and the remaining 50% before dispatch.
  • Goods remain the property of Gozi Lifestyle Pvt. Ltd. until payment is received in full.

5. Production & Tolerances

  • Lead times are indicative: approximately 2 business days for ready styles and 3–4 weeks for custom production from sample approval.
  • Minor shade variation between dye lots is inherent to textile manufacturing and does not constitute a defect.
  • Custom production runs may vary by ±5% in quantity per style/colour; invoicing is adjusted pro-rata.

6. Custom & Private Label Orders

  • Where you supply designs, artwork, or brand logos, you warrant that you own or are licensed to use all related intellectual property, and you indemnify us against any third-party claims.
  • Approved samples form the production standard; changes after approval may affect cost and timeline.

7. Exports

  • International orders are undertaken subject to agreed shipping terms (EXW / FOB / CIF or courier-to-door) and applicable Indian foreign trade and FEMA regulations.
  • Import duties, taxes, and compliance requirements in the destination country are the buyer's responsibility.

8. Limitation of Liability

Our liability on any order is limited to the invoice value of that order. We are not liable for indirect or consequential losses, including loss of profit or business.

9. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural calamities, strikes, transport disruptions, or government actions.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts at Tiruppur, Tamil Nadu shall have exclusive jurisdiction.
